What is an LLC?

A Limited Liability Company, or LLC, is a hybrid business structure that combines features of a corporation and partnership or sole propietorship. An LLC provides limited liability to its owners similar to a corporation, while offering the pass-through taxation of a partnership or sole proprietorship. Often more flexible than a corporation, an LLC offers many advantages including tax advantages, limited liability for business debts and more. An LLC limits the liability of its members to their investment in the company and offers protection from business debts and lawsuits.       An LLC provides limited liability to its owners (technically called ‘members’), meaning that any liability created by the company is limited to the company. Generally, the members’ personal assets are protected from claims against the company. This protection is not absolute though- in the event of fraud, misrepresentation or illegal activity courts can pierce the corporate veil, and the LLC could lose its protection.

      LLC owners can report their share of business profit and loss on their personal tax returns without filing a separate corporate tax return. There is no double taxation of earning unless the LLC decides to be taxed as a corporation. Double taxation means that earnings are taxed at the corporate level, and at the personal (shareholder) level.

      LLCs can be owned by individuals or other companies. An LLC can have any number of members, and each can own any percentage of the company that the members agree upon. They can be managed either by members or managers

      LLCs require much less record keeping than corporations. LLCs do not need to hold annual meetings or record meeting minutes (though recommended). LLCs also do not need to have a board of directors or officers.
